Shaun specialises in business valuation, independent expert opinions, transaction services and financial investigations.  He produces compelling expert advice to allow for the efficient resolution of contentious issues. 

Shaun has experience advising on a wide range of businesses.  He can assist with everything from a small retailer to a large infrastructure company; from a fast-growing software developer to a traditional media company with declining revenue, and from an aged care provider with substantial fixed assets to a professional services firm with very few. 

Most reports prepared by Shaun are confidential.  An exception is independent adviser’s reports prepared under the Takeovers Code.  These reports are prepared to assist shareholders faced with a takeover offer or major transaction.  The reports are almost all publicly available.  They often include share valuations, financial analysis, and opinions as to the positive and negative features of the proposed transaction.  Shaun has been responsible for preparing more than 20 independent adviser’s reports, including:

• An independent report for Z Energy’s shareholders, in relation to an offer by Ampol to acquire all the shares in the company though a court approved scheme of arrangement. 
• An independent report for Tilt Renewables’ shareholders, in relation to Powering Australian Renewables’ and Mercury NZ’s offer to acquire the Australian and New Zealand operations of the company, though a court approved scheme of arrangement.
• An independent report for Abano Healthcare’s shareholders, in relation to an offer by Adams NZ Bidco to acquire all the shares in the company though a court approved scheme of arrangement. 
• An independent report for Metlifecare’s shareholders, in relation to an offer by Asia Pacific Village Group to acquire all the shares in the company though a court approved scheme of arrangement. 
• An independent report for Augusta Capital’s shareholders, in relation to a full takeover offer by Centuria Capital Group, pursuant to the Takeovers Code. 

Shaun has advised on a wide range of matters in dispute, including:

• Quantification of damages and financial investigations in commercial disputes, including those related to breach of contract, negligence, and misrepresentation claims.  
• Valuing businesses being compulsorily acquired, pursuant to section 68(1)(b) Public Works Act 1981 (compensation for goodwill) and section 111 Companies Act (fair and reasonable price).
• Financial analysis in relationship property disputes, including the valuation of businesses, quantification of economic disparity and tracing of relationship property.
• Independent expert engagements, pursuant to business sale agreements and shareholders’ agreements.
